Termination of Agreement.
The OPP 5th District reserves the right to terminate this Agreement at any time at its sole discretion by delivering written or email notice to the Vendor. Upon termination, the District’s will incur no liability. In the event that the Vendor terminates this Agreement, for any reasons whatsoever, it will remit to the District within 48 hours of said termination all outstanding fees associated with termination. Such termination will require written notice to that effect to be delivered by the Vendor to the District not less than 10 days prior to said termination. In addition:
The Vendor shall indemnify and save harmless the OPP 5th District and all of its officers, agents, employees from all suits, actions or claims of any character brought for, or on account of, any injuries or damages received by any persons or property resulting from the operations of the Vendor, or of any subcontractors, in prosecuting this work under this Agreement.
